Organization
Our company is organized into two Business Segments. The operational business is managed by seven global Business Units.
The duties of the Board of Management are defined according to a Management Holding concept within SGL CARBON SE.
Guiding Principles
The management of the Company is supported by the structures and guiding principles set out below.
The Executive Committee (EC) provides the overall strategic direction.
Fundamental business decisions are taken on two levels only, the EC and the BUs.
The operational businesses are led by Management Committees of global Business Units
(BU-MCs) responsible for developing and executing their strategic and operating plans with the support of global Business Functions (BFs). The BU-MC members and BFs report to their respective head.
The Business Area Committees (BA-C) are chaired by the respective EC Tutors as main interface to the EC. All BA-C members are direct reports to the EC reflecting the BU- and BF-structure of the BA. Both, the BA- and BU Committees decide on a consensus basis. Differences in opinion have to be minuted in the respective protocols.
The Legal Entities (LEs) and Sites provide infrastructure and services required by the BUs.
The Corporate Functions (CFs) support the EC and provide services to all BUs and Legal Entities.
The management culture is built on leadership and management by objectives principles.
The performance-driven incentive schemes are based on Corporate, BU, and personal targets defined by objective discussions between the EC, the BUs, and the CFs.
